By registering for, accessing, browsing, or utilizing the AI-powered SaaS platform and applications available via Vshorts.ai (collectively referred to as the "Service"), you affirm that you have read, understood, and agreed to be legally bound by these Terms of Service. This document constitutes a binding contractual agreement between you ("User", "you", or "your") and Jainawat Software Pvt. Ltd. ("Company", "we", "us", or "our").

If you are registering or using this Service on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you possess the requisite corporate authority to bind such entity to these Terms.

To access or use the Service, you must satisfy the following minimum legal criteria:

• You must be of legal age to form a binding, enforceable contract under the laws of your applicable legal jurisdiction (at least 18 years of age in India and most global territories).
• You must not be a person barred from receiving or using the Service under the laws of India or any other applicable sovereign state.
• Your use of the platform must comply fully with all localized and international laws, regulations, and statutes.

To unlock certain features of the platform, you must create a verified user account. You agree to provide true, current, accurate, and complete data during the signup sequence, and you must promptly update this data to preserve its integrity.

You bear exclusive responsibility for safeguarding your access credentials (usernames, tokens, and passwords). Sharing accounts across multiple individuals is strictly forbidden. Jainawat Software Pvt. Ltd. cannot and will not be held liable for any data loss or damages arising from your failure to preserve credential confidentiality.

Vshorts.ai provides service tiers structured around monthly and annual recurring subscriptions. By subscribing to a paid tier, you authorize the Company to capture recurring charges on a predefined interval using your chosen payment method.

• Automatic Renewal: Paid subscription structures automatically renew at the expiration of the cycle unless explicitly cancelled through your billing configurations before the next renewal date.
• Taxation & GST: Prices published are subject to statutory taxes, including Goods and Services Tax (GST) where required by Indian tax authorities, added transparently at checkout.
• Price Modifications: The Company reserves the right to adjust subscription rates. Any tier changes will be broadcast to users with advanced notice before application.
• Invoicing Failures: In the event a transaction attempt fails, we reserve the automatic right to immediately suspend platform system access until invoices are resolved.

All structured financial operations and card tokenization protocols are secured and handled strictly via PCI-DSS compliant processing networks such as Stripe, Razorpay, or authorized alternative partners.

The Company may make available a free-of-charge operational tier ("Free Plan") to allow users to evaluate the system. The Free Plan contains systemic constraints, including but not limited to, monthly generation volume quotas, computing processing priority caps, and limited feature sets.

We retain full discretionary authority to alter, reduce, modify, or permanently discontinue the Free Plan allocations at any time without prior notifications or legal recourse.

Except where explicitly provided by mandatory statutory laws applicable to your jurisdiction, all subscription payments, platform credits, and purchases made on Vshorts.ai are strictly non-refundable once service rendering has been initiated or computational processes have run on our cloud platforms.

If you believe an automated invoicing error has occurred, you must submit a formal resolution dispute ticket within fourteen (14) days from the explicit date of the financial capture to receive manual evaluation.

You retain full copyright, intellectual ownership, and title over any raw media assets, scripts, audio files, video frames, or data that you upload, transmit, or ingest into the Vshorts.ai platform ("User Content"). The Company asserts zero ownership claims over your proprietary data.

To enable us to perform operations, you grant Jainawat Software Pvt. Ltd. a worldwide, non-exclusive, royalty-free, limited license to host, process, store, format, reproduce, analyze, execute AI modeling upon, and generate derived clips from your User Content. This license is granted solely for the precise purpose of providing and operating the Service.

The entire architecture of Vshorts.ai—including but not limited to our source code, compiled applications, proprietary neural network parameters, UI/UX designs, operational graphics, trademarks, logos, system algorithms, automated pipelines, documentation, and structural assets—is the exclusive property of Jainawat Software Pvt. Ltd. and is protected under Indian and international intellectual property laws.

Your interaction with the platform grants you a revocable, non-transferable, limited right to interact with the SaaS UI via standard client pathways. No explicit or implied ownership transfer is authorized under any conditions.

Vshorts.ai relies on highly complex machine learning frameworks and automated artificial intelligence nodes to slice, render, subtitle, and construct video compilations. You acknowledge and accept that:

• AI-generated assets are compiled via machine interpretation and we offer zero guarantees regarding total thematic precision, contextual relevance, or legal safety of the output.
• You bear the sole obligation to manually review, audit, and verify any and all generated media clips before publication, broadcast, or commercial deployment.

You agree to fully maintain compliance with our operational guidelines. You are strictly forbidden from uploading files, processing media, or behaving in any manner that involves:

• Copyright & Piracy Violations: Ingesting unlicensed TV broadcasts, cinematic motion pictures, pirated music videos, or media infringing on external copyrights.
• Malicious Actions: Transmitting malware, computational exploits, scraping bots, automated account creators, or overloading the underlying servers.
• Deception & Harm: Creating non-consensual deepfakes, identity fraud assets, misleading financial scams, or generating material displaying violence, hate speech, or child exploitation.
• Reverse Engineering: Probing, decompiling, or attempting to extract foundational model architecture weights or system endpoints.

Violations of these guidelines will trigger immediate account termination without legal notice or financial remediation.

The Company values intellectual property laws. If you believe your copyrighted work has been improperly processed or stored through the platform, please forward a formal infringement notice to our legal department containing:

• A description of the copyrighted asset.
• The specific location/URL of the material on our platform.
• Your physical address, active email, and signature.

We maintain a strict repeat-infringer policy, enforcing termination protocols against users found consistently violating copyright rules.

Your submission of personal information and raw data through the platform is securely governed by our comprehensive Privacy Policy. Please consult our dedicated privacy disclosure documentation to learn how we utilize encryption protocols, safeguard user accounts, and interface with storage partners.

The Service may provide links, API connections, or integrations with external third-party digital landscapes, including YouTube (Google APIs), cloud rendering farms, data scrapers, and financial providers. You recognize that these systems are separate entities and operate under their own autonomous operational terms.

Should you use specialized Application Programming Interface (API) tokens provided by Vshorts.ai to connect programmatically, you agree that such API channels are bound by these identical Terms. We reserve the full technical authority to implement query rate-limiting, token cycling, and structural bandwidth throttling to preserve platform stability.

Jainawat Software Pvt. Ltd. deploys industry-standard encryption, SSL data handshakes, firewalls, and server monitoring metrics to safeguard platform infrastructure. However, you acknowledge that no digital transmission vector over the web or electronic cloud repository can ever be certified as 100% impenetrable.

While we strive for high uptime, the platform will occasionally encounter momentary offline states due to scheduled patches, infrastructure updates, or unexpected telecom routing failures. The Service is provided without guaranteed uninterrupted operational continuity.

We retain full operational discretion to improve, alter, sunset, substitute, or remove specific capabilities, internal rendering mechanisms, subtitle parameters, or software layers within the platform at any time. Where practical, significant system adjustments will be communicated to active users via system notifications.

The Company reserves the right to suspend or permanently block your access to the platform without prior warning or legal liability, for reasons including:

• Material breaches of any provision of these Terms.
• Initiation of payment chargebacks or financial disputes against our processing profiles.
• Fraudulent, abusive, or unlawful actions.
• Requests by government entities or law enforcement agencies under valid legal processes.

In accordance with standard credit networks and rules enforced by providers like Stripe, users must not use Vshorts.ai to manage, facilitate, or support unauthorized actions, including money laundering, terrorist financing, human trafficking, or sanctioned activities. Your account will be terminated if any processing network flags your transactions as high-risk.

To optimize cloud space and prevent excessive hosting strain, the platform automatically deletes or archives raw files and outputs after a designated post-processing timeframe, as detailed in our system documentation. You are advised to download and secure local backups of your generated files.

You warrant that you are not currently located in, nor operating under the control of, any sovereign territory subject to international trade blockades, global sanctions, or embargoes issued by standard international regulatory bodies or the Government of India.

THE SERVICE AND ALL RELATED GENERATIVE OUTPUTS PRODUCED BY VSHORTS.AI ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. JAINAWAT SOFTWARE PVT. LTD. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OBJECTIVE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED UNDER THE LAWS OF INDIA, IN NO EVENT SHALL JAINAWAT SOFTWARE PVT. LTD., ITS DIRECTORS, EMPLOYEES, SHAREHOLDERS, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUES, PRIVACY, DATA, USE, GOODWILL, OR OTHER INTANGIBLE ASSET LOSSES, ARISING OUT OF YOUR ACCESS TO OR INABILITY TO INTERACT WITH THE PLATFORM.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE COMPANY EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY FOR THE SPECIFIC SERVICE TIER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.

You agree to fully defend, indemnify, and hold harmless Jainawat Software Pvt. Ltd. and its subsidiary entities from and against any third-party claims, damages, liabilities, costs, losses, or legal representation fees resulting from your direct misuse of the platform, violation of these terms, or infringement upon third-party rights, including intellectual property or privacy protections.

These Terms of Service and your relationship with Vshorts.ai shall be governed by, interpreted, and structured exclusively in accordance with the laws of India, without regard to principles of conflicts of law.

In the event of a disagreement, claim, or structural dispute arising out of or relating to this agreement, you agree to first submit an informal notice to our legal desk at our corporate email. The parties shall exert reasonable efforts to reach an amicable settlement within forty-five (45) days.

If unresolved informally, you explicitly agree that any remaining legal actions or lawsuits must be filed exclusively in courts having competent jurisdiction over the territory where Jainawat Software Pvt. Ltd. maintains its active registered corporate office.
